INDTIX PLATFORM AGREEMENT — VENUE MANAGER TERMS
Effective Date: 24 February 2026 | Version 2.0
1. PARTIES
This Agreement is between Oye Imagine Private Limited ("INDTIX"), Suite No. 11, A-116, Urbtech Trade Centre, Sector-132, Maharishi Nagar, Noida – 201304, and the Venue Manager ("you" or "the Merchant") who completes this registration.
2. PLATFORM FEE & COMMISSION
(a) INDTIX charges a venue listing fee of 2% on each ticket transacted through the platform for events hosted at the registered venue.
(b) The fee is deducted automatically before each payout cycle.
(c) Minimum payout threshold: ₹500. Payout cycle: T+7 (7 days after event completion).
3. KYC OBLIGATION
You represent that all submitted KYC documents (PAN, GST, TAN, bank details) are accurate, current, and legally belong to your registered entity. Any misrepresentation shall result in immediate suspension and forfeiture of pending payouts.
4. EVENT / VENUE LISTING TERMS
(a) Venue details (capacity, amenities, seating plan) must be accurate and updated within 48 hours of any change.
(b) INDTIX reserves the right to delist venues with persistent complaints or safety violations.
5. REFUND POLICY
Refunds due to cancellations by you (as Organizer/Venue) will be processed from your payout balance. INDTIX platform fees are non-refundable. In case of insufficient balance, INDTIX may hold future payouts until the refund obligation is cleared.
6. SUB-USER DELEGATION
You may create up to 10 sub-users (team members) with defined role-based access (Owner, Manager, Staff). You are responsible for all actions taken by your sub-users on the platform.
7. DATA PROTECTION
All customer data accessed through the INDTIX platform is owned by INDTIX / the customer. You may not extract, export, or use customer data for any purpose outside of INDTIX-managed event operations. GDPR and DPDP Act compliance is mandatory.
8. TERMINATION
Either party may terminate with 30 days notice. INDTIX may suspend or terminate immediately for KYC fraud, chargebacks exceeding 2%, or violation of platform policies. Pending payouts above ₹1,000 will be released within 30 days of termination (subject to chargeback resolution).
9. DISPUTE RESOLUTION
Disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996. Seat of arbitration: Noida, Uttar Pradesh. Governing law: Indian law.
10. ACCEPTANCE
By checking the acceptance box and submitting this form, you confirm you have read, understood, and agreed to these terms on behalf of your registered entity.
